They don't "HAVE TO" krub. If the current team decides to match the new team's offer, then the player chooses to opt out the current contract and signs with the new team, the current team will get a draft pick as compensation. The draft pick will be determined by the player's original draft position i.e.; if the player is originally selected in the 2nd round, the current team will get the new team's 2nd round as compensation. If the new team doesn't have the 2nd round of the upcoming draft, the new team must submit the higher draft selection (that means the first round selection).
Furthermore, if the new team has more than 2 second round picks, it has to submit the higher selection as compensation i.e.; if the new team has 36th and 44th overall selections, it has to give the 36th selection to the player's current team.
In addition, the current team can tender offer the RFA more money than the current contract states. For example, if John Doe is a 4th round pick and scheduled to make, let's say, $470K and will become a RFA this off season, the current team can give him a tender offer to prevent itself from losing him via free agency. The offer will vary. If the tender offer is more than $1.25M (there is a certain number but I can't remember) that will force the new team to give up the first round pick as compensation, regardless of Doe's original drafted position. In other words, the higher value the tender offer is, the higher the draft pick will be given as compensation.
